NOTICE IS HEREBY GIVEN that an annual and special meeting of the members of Women’s Law Association of Ontario will be held electronically via Microsoft Teams using this meeting link, (Meeting ID: 250 549 773 919 41, Passcode: NX3tr7MA) for the following purposes:
- To receive the annual report of the Board, including the financial statements for the year ended December 31, 2024;
- To pass the following extraordinary resolution: “Resolve not have an audit or a review engagement in respect of the Association’s financial year ended December 31, 2026.”;
- To retain an accounting firm and to authorize the Directors to set the remuneration payable to the accounting firm;
- To elect 3 directors to hold office for a term of 2 years or until their successors are elected;
- To pass the following special resolution: “Resolve that the articles of the Association be amended to set the minimum number of directors of the Association at 3 and the maximum number of directors at 15.”;
- To pass the following special resolution: “Resolve that the directors of the Association may by resolution determine the number of directors to be elected at an annual meeting of the members of the Association.”; and
- To transact any other business as may properly be brought before the meeting or any adjournment thereof.
A copy of the financial statements of the Association for the year ended December 31, 2024, will be furnished to any member of the Association upon request sent to: [email protected]. Copies will be available for those attending the meeting electronically.
If you wish to appoint a proxy to attend and vote on your behalf at the annual and special meeting, you may send a request for a form of proxy to [email protected]. To appoint a proxy, you must deposit a completed form of proxy with the Association by 9 am on Wednesday, February 4, 2026, by email to [email protected].
